Henkel successfully closed the acquisition of Zotos International
Inc., the North American Hair Professional business of Shiseido
Co., Ltd. The acquisition comprises hair professional brands such as
Joico and Zotos Professional. The agreement to acquire the business
was signed on Oct. 26, 2017, with a purchase price amounting to
$485 million. Based in Darien, CT, Zotos is mainly focused on the
U.S. market but also present in Europe and Asia. In 2014, Henkel
acquired the three U.S. companies Sexy Hair, Alterna and Kenra.
During September 2017, Henkel successfully closed the acquisition
of Nattura Laboratorios with its US hair professional brand
Pravana.
Kao USA Inc., a wholly owned subsidiary of the manufacturer and
marketer of beauty brands Kao Corp., announced it has signed
an agreement to acquire Oribe Hair Care, LLC from its owners,
including Luxury Brand Partners, LLC. Daniel Kaner, Co‐Founder
and currently Co‐President of Oribe Hair Care will be named
President of the newly acquired entity. The terms of the deal were
not disclosed. The Oribe business will continue to be based in
New York City under current management, reporting to Kao Salon
Division. The acquisition is subject to normal regulatory review
and approval.
Colgate-Palmolive Co. as part of its strategy to focus on oral care,
personal care and pet nutrition businesses, announced that it has
agreed to purchase PCA Skin and EltaMD, two brands in professional
skincare, in two separate transactions. These acquisitions will
enable Colgate to enter the professional skincare category while
complementing its existing personal care businesses. Colgate plans
to continue to operate the brands independently after closing. The
terms of the deals have not been disclosed and they are expected to
close in the first quarter of 2018.
Unilever announced an agreement to acquire Schmidt’s Naturals, a
personal care company based in Portland, OR. Terms of the transaction
were not disclosed and the deal is expected to close no later
than the first quarter 2018. Co-founders Jaime Schmidt and Michael
Cammarata will continue to be involved with the brand.
Sun European Partners, LLP announced that one of its affiliates
has entered into exclusive negotiations to sell Albéa, a global participant
in the Personal Care packaging industry, to PAI Partners.
Albéa was acquired by an affiliate of Sun in 2010.
TricorBraun Inc. has acquired Package All Corp. As a result, Package
All has become a wholly-owned subsidiary of TricorBraun but
will continue to be led by its current executive team. Package All is
a distributor to the over-the-counter (OTC) generic pharmaceutical
and nutraceutical industries, also providing packaging to several
other industries including personal care and beauty, sports and fitness,
food and beverage as well as household and industrial.
Crown Holdings, Inc. announced that it has entered into an agreement
to acquire global provider of transit packaging systems and
solutions Signode Industrial Group Holdings (Bermuda) Ltd. from
The Carlyle Group, in a cash transaction valued at $3.91 billion,
subject to customary closing adjustments. The acquisition, which is
subject to review by various competition authorities, is expected to
close during the first quarter of 2018.
Walgreens Boots Alliance, Inc. announced that it has reached an
agreement with China National Accord Medicines Corp. Ltd. to
become an investor in its subsidiary Sinopharm Holding Guoda
Drugstores Co., Ltd., which operates and franchises retail
pharmacies across China.
Industry News
The Recycling Partnership, a national nonprofit that applies corporate
funding to improve recycling efforts in communities across
the country, announced that international packaging provider
Berry Global, Inc. has joined as its newest funding partner. Berry
plans to decrease landfill waste as well as greenhouse gases.
Crown Holdings, Inc. released its 2017 Sustainability Report.
Metrics published in the report include decreased aluminum
usage, lower greenhouse gas emissions, reduced volatile organic
compounds (VOC) and NOx emissions as well as zero work-related
fatalities. Titled “Infinite Innovation,” the report documents
Crown’s efforts in fiscal years 2015 and 2016. Data resulting from
assets gained during the acquisitions of Mivisa and Empaque have
also been included for the first time in Crown’s sustainability
reporting. The 2017 report has been structured using the Global
Reporting Initiative’s (GRI) G4 Guidelines.
Givaudan announced the official opening of its new Givaudan
Business Solutions (GBS) delivery center in Kuala Lumpur,
Malaysia. Kuala Lumpur joins Budapest and Buenos Aires as a key
delivery center for GBS. Initially focusing on finance and procurement
solutions for indirect materials and services, the center
will begin implementing the full range of GBS activities by 2019.
The GBS center in Kuala Lumpur will integrate processes from
the functional areas of Finance, Procurement, Supply Chain and
Enterprise Data Management.
A team of scientists at Clarkson University successfully developed
a smart label that could help warn consumers before personal care
and cosmetic products spoil, according to Independent Cosmetic
Manufacturers & Distributers (ICMAD). The researchers
involved believe that these products could benefit because spoilage
not only compromises the efficacy of the products, it can lead to
potentially dangerous bacterial contamination. Initial research
focused on detecting antioxidants in tea and coffee, which subsequently
led to the development of paper-based devices that change
color once bacterial contamination occurs in a range of personal
care, cosmetic and food products.
